1. Provider and scope
This website and the services described on it are provided by Inner Spark Center S.L., Carrer de Floridablanca 68, Coworking Local 9F, 08015 Barcelona, Spain, VAT ID ESB70984208, registered at the Commercial Registry of Barcelona (“Simple AI Studio”, “we” or “us”). These terms apply to the implementation bootcamps, workshops, learning materials, student workspace and related support that we deliver. Any specific written proposal or confirmation forms part of the agreement and prevails where it addresses the same matter.
2. Business clients and enrolment process
The Solar AI Bootcamp and training services of Simple AI Studio are exclusively and strictly intended for company founders, independent professionals, and commercial entities (B2B relationships). By submitting the enrolment form or making payment, the client expressly warrants that they are contracting on behalf of their business for strictly professional or commercial purposes.
Formation of contract: Unless a separate written agreement is concluded, the contract is formed upon successful completion of the online enrolment form, acceptance of these terms, and receipt of full payment through the secure Stripe checkout gateway.
Territorial review and cohort composition: To safeguard open peer exchange and strategic exclusivity within the group, Simple AI Studio does not enrol solar installers operating in direct territorial competition within the same active installation zone into the same cohort. Simple AI Studio reserves a period of seven (7) business days following payment to verify the client’s declared installation territory. In the event of a material territorial overlap with a previously enrolled participant or unsuitable cohort composition, Simple AI Studio may cancel the place and immediately issue a 100% full refund via Stripe, with no further penalty or liability.
If an individual intends to contract as a consumer rather than for their commercial or business activity, they must expressly notify us prior to making payment. In such cases, mandatory statutory consumer protection laws will apply in accordance with applicable legislation.
3. Programme and participation
The first Solar AI Bootcamp pilot consists of four live online implementation sessions of approximately three hours, normally held every two weeks over two months. The weeks between live sessions are intended for the founder to apply the agreed next step in their own business. The private founder group continues until the end of the third month and includes a lightweight peer meetup in that final month.
Prior to the start of the live sessions, a recurring weekly day and time will be agreed to suit the group. All live sessions for the cohort will be held at this recurring time. If a participant cannot attend a live session due to personal, technical, or professional scheduling conflicts, sessions will not be rescheduled for an individual person. In such cases, the participant agrees to watch the full recording in the student workspace and use asynchronous support to ask questions.
Each place is personal to one founder. It may not be transferred to an employee, another company or another person without our prior written agreement. We may refuse or withdraw a place before the programme starts where members’ declared installation areas materially overlap or the proposed cohort is not a suitable fit.
4. What is included, nature of service, and illustrative demos
The Bootcamp is a professional training, methodological mentoring, and skill transfer programme. Simple AI Studio is subject to a strict best-efforts obligation (“obligation de moyens”) in delivering live sessions and educational materials. The service is in no way an agency service, a turnkey software integration, or delegated custom software engineering. Simple AI Studio teaches, advises, and guides, but does not execute technical work on behalf of the client.
Use cases, automation workflows, scenarios, screenshots, figures, or technical demonstrations displayed on the sales page, website, promotional materials, webinars, or during sessions are provided solely for educational, illustrative, and conceptual purposes. They do not constitute a contractual promise or guarantee that the client will be able to replicate or deploy all or any of these demonstrations in their own business. Technical feasibility and deployment depend entirely on variables specific to the client’s company and beyond Simple AI Studio’s control, including existing software stacks, ERP or CRM versions, API availability, data cleanliness and structure, internal security policies, and the time actually invested by the client.
The confirmed programme may include a company AI operating base, access to live sessions and recordings, access to the student workspace guaranteed for twelve (12) months from the purchase date, ready-to-configure automation templates, tutorials, reference sheets, and bounded asynchronous support for two targeted workflows as set out in section 6. The client is encouraged to download templates, memo sheets, and documents for internal company archives prior to the expiration of the 12-month period.
Unless expressly stated in a written proposal, the service does not include custom software development, an ERP or CRM migration, post-training corrective or ongoing maintenance, unlimited consulting, 24/7 support, or a done-for-you agency implementation. Simple AI Studio provides no ongoing maintenance or workflow updates after the training programme ends. All subscriptions, software licenses, credits, or third-party usage costs (e.g. OpenAI ChatGPT, Claude, Google, Microsoft, Make, n8n, CRM or ERP, etc.) required to operate automations remain the direct and sole financial responsibility of the client. It is nonetheless clarified that the only essential subscription required to follow the bootcamp is a paid subscription to an AI assistant (such as ChatGPT Plus or Claude Pro), with the standard tier of approximately 20 EUR per month generally being sufficient for moderate business usage.
5. Client work obligations and sole implementation liability
Achieving meaningful results and putting AI into practice strictly requires the client’s own continuous effort and work. Simple AI Studio does not do the work for the client. The client expressly undertakes to:
- Attend live sessions or promptly review the recordings within a reasonable timeframe;
- Personally complete all assigned homework, preparatory exercises, and practical tasks between sessions;
- Gather and organise the company data required for their use cases (such as internal procedures, pricing sheets, template emails);
- Maintain, prior to any testing and under their sole responsibility, comprehensive and verified backups of all company data and software systems;
- Manage and strictly secure their own tools, software accounts, API keys, credentials, and working environments;
- Actively test the workflows in their operational environment and report any difficulties via the agreed support channel with relevant context and screenshots as soon as a blocker arises.
The client retains sole technical, operational, and legal liability for the implementation, configuration, operation, and maintenance of their workflows and automations. Simple AI Studio assumes no liability for outages, errors, data loss, or malfunctions resulting from the client’s configuration or third-party software updates.
AI-generated output can contain errors, omissions, or hallucinations. The client retains sole responsibility for commercial, pricing, technical, legal, safety, compliance, and employment decisions. The client agrees to enforce mandatory human oversight (“human-in-the-loop”) and to review and approve every document, quote, communication, or data flow before transmitting it to any customer, supplier, public authority, or employee.
6. Sole implementation support guarantee on two workflows and conditional eligibility
The sole implementation support commitment guaranteed by Simple AI Studio is strictly limited to assisting with the deployment of two (2) simple, supervised automations (“qualifying workflows”), selected by mutual agreement during the programme from the client’s real operational bottlenecks.
Under this support guarantee, Simple AI Studio commits to providing methodological guidance, analysing blockers, and answering all technical and process questions regarding these two qualifying workflows through the agreed channel during the three-month cohort period.
Mandatory condition precedent of actual client work: This support guarantee for two automations is strictly conditional upon the client having diligently and fully performed their work duties and homework set out in section 5. If the client fails to complete assigned exercises, does not dedicate the required time, fails to provide necessary data, fails to run tests, or passively waits for Simple AI Studio to perform the work on their behalf, this guarantee shall not apply, and the client shall have no claim to any indemnity, compensation, or refund.
A qualifying workflow has a clear input, agreed output, documented process, named human review point, and at least one appropriate test on a real company case. It is considered in use once the founder can run it independently with the agreed tool and review the result. If an initially planned workflow proves unfeasible due to external software constraints, missing APIs, or third-party limitations, Simple AI Studio and the client will replace it with another simple workflow meeting the criteria.
Beyond this targeted support on two workflows subject to completed homework, Simple AI Studio guarantees no other automation implementation, business outcome, or commercial result (such as revenue increases, quantified hours saved, or profit margins). The client’s inability to implement other use cases or automations demonstrated in class or on the sales page does not constitute a contractual breach by Simple AI Studio and gives no right to cancellation, discount, or refund.
7. Backups, cybersecurity, and limitation of liability
Simple AI Studio acts solely as a provider of professional training and technical mentoring. We do not provide systems administration, data hosting, managed IT services, bespoke cybersecurity audits, or infrastructure management.
Mandatory backup obligation: The client is strictly required to implement and maintain, prior to testing, configuring, or deploying any AI tool or workflow, a full, independent, redundant, and routinely tested backup strategy for all company data, databases, software, files, and operating environments. To the maximum extent permitted by applicable law and except in cases of willful misconduct or gross negligence, Simple AI Studio accepts no liability whatsoever for any data loss, file corruption, accidental deletion, overwriting, or system failure arising during or following the client’s implementation work or testing.
Cybersecurity and credential management: Security guidance or discussions provided during the Bootcamp represent general educational awareness of best practices and must never be construed as a bespoke security audit, penetration test, or compliance certification. The client retains sole and exclusive responsibility for network and endpoint security, safe storage and confidentiality of API keys, passwords, and access credentials, as well as managing permissions granted to employees or contractors. Except in cases of willful misconduct or gross negligence directly attributable to Simple AI Studio, Simple AI Studio shall not be liable for security breaches, unauthorized access, data leaks, compromised API keys, or unexpected billing spikes from third-party tools.
Exclusion of consequential damages and liability cap: To the maximum extent permitted by applicable law and except in cases of willful misconduct or gross negligence, under no circumstances shall Simple AI Studio or its officers be liable for business interruption, downtime, inability to work, operational standstill, lost profits, lost revenue, reputational damage, or third-party claims arising from the use or inability to use any concept, template, or workflow taught in the programme. If liability is established by a final court ruling, Simple AI Studio’s total aggregate liability shall be strictly limited and capped at the net amount actually paid by the client for the programme.
8. Price, payment, commercial refund guarantee and cancellations
The current investment for the Solar AI Bootcamp pilot is 1,500 EUR plus applicable VAT, unless a written proposal states otherwise. Full payment is made through the secure Stripe gateway at the time of online enrolment.
Full commercial refund guarantee: As this agreement is concluded between businesses with no mandatory statutory right of withdrawal, Simple AI Studio voluntarily provides a 100% commercial refund guarantee. The client may cancel their enrolment and receive a full refund by sending a written email request to [email protected] up to whichever date occurs later:
- The fourteenth (14th) calendar day following the payment date; or
- The seventh (7th) calendar day following the date of the cohort’s first live session.
Once that deadline has passed, enrolment is permanently consolidated with no possibility of cancellation or refund, in order to safeguard cohort planning and territorial exclusivity. Approved refunds will be processed within 7 to 10 business days using the original Stripe payment method.
If we need to cancel or materially reschedule a confirmed programme, we will offer a reasonable alternative date or refund 100% of the amount paid within 7 business days via Stripe. We are not responsible for delays caused by events outside our reasonable control or force majeure.
9. Confidentiality, intellectual property, and session recordings
Founders in a cohort may hear non-public information about other members’ businesses. Each participant must keep that information strictly confidential and must not share it, use it competitively or record a session without the other participants’ and our prior permission.
Session recordings and image rights: Live group sessions are recorded by Simple AI Studio to provide replay access inside the private student workspace for cohort members. By attending live sessions with camera or microphone enabled, the client expressly consents to the recording of their image, voice, name, and any shared screens exclusively for the benefit of their cohort members. Any participant wishing to preserve their visual privacy may turn off their camera or microphone at any time and interact via the session text chat.
The client retains ownership of its company data and company-specific materials. We retain ownership of our pre-existing methods, templates, tutorials and materials. Subject to payment, the client receives a non-transferable licence to use the materials internally in its own business. It may not resell, publish or distribute them outside that business without our written permission. Third-party tools remain subject to their own terms.
10. Data protection
We process personal data in accordance with our Privacy Policy. Before sharing data through an AI tool or with a cohort, the client must ensure that it has a valid basis and the necessary authority to do so. Do not share sensitive client, employee or supplier information unless it is necessary, authorised and handled through an appropriate agreed process.
11. Applicable law and contact
These terms are governed by Spanish law. For disputes with professional clients, the courts of Barcelona, Spain have jurisdiction, except where mandatory law requires otherwise. The contract language is Spanish unless we agree otherwise in writing. English and French versions are provided for convenience; the Spanish version prevails in the event of a conflict.
